License Agreement

These license terms are an agreement between you and Copernicos Groep BV (or one of its affiliates) hereafter COPERNICOS. They apply to the MMP Excel Add-in software and any COPERNICOS services or software updates.

IF YOU COMPLY WITH THESE LICENSE TERMS, YOU HAVE THE RIGHTS BELOW. BY USING THE MMP Excel Add-in, YOU ACCEPT THESE TERMS.

1. Grant of License

This Agreement grants you, the user, a non-exclusive, non-transferable license without right to sub-license to use het MMP Excel Add-in subject to the terms and conditions set forth herein. The scope of the license is for individual use. For other license scopes like an enterprise use contact COPERNICOS. Installation and use on servers or local area networks is prohibited for Individual Licenses. If you install MMP Excel Add-in onto a multi-user platform, server or network, each and every individual user of MMP Excel Add-in must be licensed seperately.

2. Usage Rights and Restrictions

You may use MMP Excel Add-in for individual use., to be use on one single computer location by one user. You may not redistribute, sell, decompile, reverse engineer, disassemble, modify or otherwise reduce MMP Excel Add-in to a human-perceivable form.

3. License Type

This license is a freemium, subscription-based license.

4. Ownership

The MMP Excel Add-in license granted to you is not a sale.. As Licensee, you own the magnetic or other physical media on which the Software is recorded, but COPERNICOS retains all right, title, proprietary interest in, and ownership of the MMP Excel Add-in.

5. Liability and Warranties

MMP Excel Add-in, and services provided in connection therewith are provided “as is,” without warranty, express or implied, of any kind. The entire risk as to the quality and performance of MMP Excel Add-in is with you. COPERNICOS specifically disclaims the implied warranties of fitness for a particular purpose and merchantability. No oral or written information or advice given by COPERNICOS, its dealers, distributors, agnets or employees shall creat a warranty, and you may not rely upon such information or advice.

To the maximum extent permitted by law, neither copernicos nor anyone else who has been involved on behalf of COPERNICOS in the creation, production or delivery of the software, accompanying written materials, or any services provided in connection therewith, shall be liable for any special, consequential, indirect or incidental damages (including damage for loss of business profit, business interruption, loss of data, and the like) arising out of the use or inability to use the software, even if COPERNICOS has been advised of the possibility of such damages. In no event shall COPERNICOS’ total cumulative liability for loss or damage under this agreement exceed the amount of license fees paid by you for the software giving rise to the claim.

6. Compatibility

MMP Excel Add-in is compatible with Excel versions 2016/365 or higher and Windows10 or higher.

7. Privacy and Data Protection

If MMP Excel Add-in collects or processes any data, explain your data handling practices here, in compliance with applicable privacy laws.

You can learn more about data collection and use in the MMP Excel add-in Privacy Statement. If personal data is collected and processed COPERNICOS complies to the European Union General Data Protection Regulation Terms of the Online Services Terms.

You agree to comply with all applicable provisions of the MMP Excel Add-in Privacy Statement.

8. Feedback

If you give feedback about the MMP Excel Add-in to COPERNICOS, you give to COPERNICOS, without charge, the right to use, share and commercialize your feedback in any way and for any purpose. You will not give feedback that is subject to a license that requires COPERNICOS to license its software or documentation to third parties because COPERNICOS includes your feedback in them. These rights survive this agreement.

9. Intellectual Property

All intellectual property rights in MMP Excel Add-in and its contents are owned by COPERNICOS.

The software, including its user interface, features and documentation, is confidential and proprietary to COPERNICOS and its suppliers.

COPERNICOS’ name and logo and MMP Excel Add-in name and logo are proprietary of COPERNICOS.

10. Compliance with Microsoft’s Terms

Your use of MMP Excel Add-in is subject to compliance with Microsoft’s licensing terms and conditions, as applicable.

11. Support and Updates

Support and updates for MMP Excel Add-in are outlined on the MMP Excel Add-in support page.

12. Termination

This License is effective until terminated. You may terminate it at any time by destroying MMP Excel Add-in along with all copies in any form. This license is subject to immediate termination if you fail to comply with any provision of this license. Upon termination you shall cease all use of MMP Excel Add-in.

13. General

This Agreement constitutes the entire agreement between you and Copernicos concerning MMP Excel Add-in.

If for any reason a court of competent jurisdiction finds any provision of this Agreement, or portion thereof, to be unenforceable, that provision of the Agreement shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect

This Agreement shall be governed by the laws of The Netherlands without regard to that body of law known as conflicts of law. You agree to submit to personal exclusive jurisdiction in The Netherlands.
