This Agreement grants you, the user, a non-exclusive, non-transferable license without right to sub-license to use het Model Viewer Excel Add-in subject to the terms and conditions set forth herein. The scope of the license is for individual use. For other license scopes like an enterprise use contact COPERNICOS. Installation and use on servers or local area networks is prohibited for Individual Licenses. If you install Model Viewer Excel Add-in onto a multi-user platform, server or network, each and every individual user of Model Viewer Excel Add-in must be licensed separately.  

You may use Model Viewer Excel Add-in for individual use, to be used on one single computer location by one user. You may not redistribute, sell, decompile, reverse engineer, disassemble, modify or otherwise reduce Model Viewer Excel Add-in to a human-perceivable form. 

This license is a freemium, subscription-based license. 

The Model Viewer Excel Add-in license granted to you is not a sale. As Licensee, you own the magnetic or other physical media on which the Software is recorded, but COPERNICOS retains all right, title, proprietary interest in, and ownership of the Model Viewer Excel Add-in. 

Model Viewer Excel Add-in, and services provided in connection therewith are provided “as is,” without warranty, express or implied, of any kind. The entire risk as to the quality and performance of Model Viewer Excel Add-in is with you. COPERNICOS specifically disclaims the implied warranties of fitness for a particular purpose and merchantability. No oral or written information or advice given by COPERNICOS, its dealers, distributors, agents or employees shall create a warranty, and you may not rely upon such information or advice.  

To the maximum extent permitted by law, neither COPERNICOS nor anyone else who has been involved on behalf of COPERNICOS in the creation, production or delivery of the software, accompanying written materials, or any services provided in connection therewith, shall be liable for any special, consequential, indirect or incidental damages (including damage for loss of business profit, business interruption, loss of data, and the like) arising out of the use or inability to use the software, even if COPERNICOS has been advised of the possibility of such damages.  In no event shall COPERNICOS’s total cumulative liability for loss or damage under this agreement exceed the amount of license fees paid by you for the software giving rise to the claim.  

Model Viewer Excel Add-in is compatible with Excel versions 2016/365 or higher and on Windows 10 or higher.

You agree to comply with all applicable provisions of the Model Viewer Excel Add-in Privacy Statement. 

If you give feedback about the Model Viewer Excel Add-in to COPERNICOS, you give to COPERNICOS, without charge, the right to use, share and commercialize your feedback in any way and for any purpose. You will not give feedback that is subject to a license that requires COPERNICOS to license its software or documentation to third parties because COPERNICOS includes your feedback in them. These rights survive this agreement. 

All intellectual property rights in Model Viewer Excel Add-in and its contents are owned by COPERNICOS. 

The software, including its user interface, features and documentation, is confidential and proprietary to COPERNICOS and its suppliers. 

COPERNICOS’ name and logo and Model Viewer Excel Add-in name and logo are proprietary of COPERNICOS. 

Support and updates for Model Viewer Excel Add-in are outlined on the Model Viewer Excel Add-in support page. 

This License is effective until terminated. You may terminate it at any time by destroying Model Viewer Excel Add-in along with all copies in any form. This license is subject to immediate termination if you fail to comply with any provision of this license.  Upon termination you shall cease all use of Model Viewer Excel Add-in. 

This Agreement constitutes the entire agreement between you and COPERNICOS concerning Model Viewer Excel Add-in. 

If for any reason a court of competent jurisdiction finds any provision of this Agreement, or portion thereof, to be unenforceable, that provision of the Agreement shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect 

This Agreement shall be governed by the laws of The Netherlands without regard to that body of law known as conflicts of law. You agree to submit to personal exclusive jurisdiction in The Netherlands.
